Terms of Service

These Terms of Service ("Terms") govern your access to and use of SkillNexus, an AI-powered skill development platform operated by NexusAI Technologies("NexusAI", "we", "us", "our"). SkillNexus includes the web application, mobile web experience, live session infrastructure (via MentorNexus), AI-generated course content, gamification systems (SNXP & GNC), push notification services, and all associated APIs and tools.

By registering an account, enrolling in a batch, or otherwise accessing any part of the Platform, you confirm that you have read, understood, and agree to be bound by these Terms and ourPrivacy Policy(incorporated herein by reference). These Terms form a binding legal agreement between you and NexusAI Technologies.

To use SkillNexus you must:

• Be at least 18 years of age. Users under 18 may access the Platform only under a verified institutional enrolment with parental/guardian consent obtained by the partnering institution (see Section 14).
• Have the legal capacity to enter into contracts under Indian law.
• Not be barred from using the Platform under any applicable law or by a prior NexusAI suspension or termination.
• Provide accurate and complete registration information.

By using SkillNexus you represent and warrant that you meet all eligibility requirements. NexusAI reserves the right to suspend or terminate accounts where eligibility requirements are not met.

You may register using your email address (with OTP verification), or via Google/LinkedIn OAuth. One person may hold only one SkillNexus account unless NexusAI has expressly authorised multiple accounts in writing.

• Accurate information: You must provide truthful, current, and complete information during registration and update it promptly if it changes.
• Account security: You are solely responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately atsupport@nexusaiweb.com if you suspect unauthorised access.
• No sharing or transfer: You may not share, sell, sublicense, or transfer your account or credentials to any other person.
• Institutional accounts: If your account was provisioned by a college or corporate partner, the institution retains the right to revoke access upon student/employee exit.

NexusAI may verify your identity at any time and may require additional information to confirm your eligibility or compliance with these Terms.

SkillNexus provides the following core services, subject to your active subscription or enrollment:

Service availability is subject to maintenance windows, infrastructure outages, and decisions by NexusAI regarding platform features. NexusAI may add, modify, or remove features at any time with reasonable notice where material changes affect paid enrolled students.

Live class sessions are delivered by assigned mentors via Microsoft Teams, integrated with the MentorNexus platform. By joining a live session you acknowledge:

• Session recordings: Sessions may be recorded for enrolled students to re-watch via the Sessions Hub. Recordings are hosted on Azure Blob Storage and accessible for the duration of your enrollment plus 6 months thereafter. You must not download, redistribute, or share recordings without NexusAI's written consent.
• Attendance data: Your attendance (join/leave timestamps) is logged for mentor visibility and institutional reporting where applicable.
• Conduct in sessions: You must behave respectfully toward mentors and other participants. Disruptive, harassing, or abusive behaviour during live sessions will result in immediate removal and may result in account termination.
• Session availability: NexusAI does not guarantee a specific number of live sessions per batch. Session schedules are set by mentors and may be rescheduled with reasonable notice.
• Technical requirements: You are responsible for a stable internet connection. NexusAI is not liable for degraded session experience due to your network conditions.

• Earning SNXP: SNXP is credited automatically upon completing lessons, quizzes, assignments, projects, and maintaining learning streaks, according to the point schedule displayed in the Platform. Rates may change with notice.
• Converting to GNC: SNXP may be converted to GNC at the prevailing exchange rate displayed in your wallet. Conversion is irreversible. GNC may be used for batch discounts, early access, and other perks within the NexusAI ecosystem as announced from time to time.
• Non-transferable: SNXP and GNC are tied to your account and may not be gifted, transferred, sold, or bartered.
• Expiry: SNXP and GNC accumulated in an account that has been inactive (no login) for 24 consecutive months will expire. You will receive a 30-day advance email warning before expiry.
• Forfeiture: Rewards earned through fraudulent means — including automated bots, collusion, plagiarism, or any violation of Section 8 — will be forfeited in full and may trigger account termination without refund.
• NexusAI's discretion: NexusAI reserves the right to adjust SNXP earn rates, GNC conversion ratios, reward rules, and redeemable perks at any time with at least 14 days' advance notice via in-app banner or email.

Course and batch fees are listed in Indian Rupees (INR) inclusive of applicable GST. Payments are processed by Razorpay Financial Solutions Pvt. Ltd. By completing a purchase you authorise NexusAI to charge the stated amount via Razorpay.

You agree not to:

• Submit another person's work as your own on any quiz, assignment, project, or assessment (plagiarism).
• Use automated tools, bots, scripts, or macros to artificially inflate SNXP rewards, game progress tracking, or manipulate leaderboard rankings.
• Reverse-engineer, decompile, scrape, or extract course content, AI model outputs, or platform data at scale without written consent.
• Resell, redistribute, sublicense, publicly display, or create derivative works from any course material without NexusAI's prior written consent.
• Attempt to access, probe, or test the security of NexusAI's systems without authorisation (unauthorised penetration testing or vulnerability scanning).
• Attempt to gain unauthorised access to other users' accounts, session recordings, or personal data.
• Post, upload, or transmit content that is unlawful, sexually explicit, harassing, defamatory, discriminatory, or infringes a third party's intellectual property rights.
• Circumvent, disable, or interfere with security features, authentication mechanisms, or access controls.
• Use the Platform to send unsolicited commercial messages, phishing communications, or malware.
• Impersonate NexusAI, a mentor, another user, or any other person or entity.
• Use the Platform in any manner that violates applicable Indian law, including the Information Technology Act, 2000, the DPDP Act, 2023, or any intellectual property law.

A substantial portion of SkillNexus course content — including lesson videos, PDFs, presentations, quiz questions, assignment briefs, and project templates — is generated by AI models (primarily Azure OpenAI gpt-4.1, with TTS voiceover by gpt-4o-mini-tts) and curated by NexusAI's content team.

• Accuracy: AI-generated content may contain factual errors, outdated information, or hallucinations. NexusAI does not warrant the accuracy, completeness, or fitness for purpose of AI-generated material. You should verify critical information from authoritative sources before relying on it professionally.
• Ownership: AI-generated course content is owned by NexusAI Technologies. Your license to access it is limited to personal learning use during your enrollment period (see Section 13).
• NexusGuide chatbot: Responses from the NexusGuide AI assistant are generated in real time and do not constitute professional, legal, financial, or medical advice. Apply independent judgement.
• Your submissions: By submitting assignments or project files, you grant NexusAI a non-exclusive, royalty-free, worldwide licence to use such content in aggregated and anonymised form to improve AI models and the Platform. NexusAI will not publicly attribute anonymised training data to you.

Upon satisfying all requirements of a batch program — including minimum lesson completion percentage, passing quiz scores, and submitted assignments — the Platform automatically issues a SNCERT certificate with a unique certificate ID (format: SNCERT-XXXXXX-XXXX).

• Nature of certificate: SkillNexus certificates attest to completion of NexusAI's curriculum and do not constitute formal academic degrees, diplomas, or professional qualifications unless the program is explicitly issued in partnership with an accredited university or certifying body.
• Verification: Certificates are verifiable via NexusAI's public certificate lookup using the certificate ID. Employers and institutions may use this service to confirm authenticity.
• Revocation: NexusAI reserves the right to revoke certificates obtained through plagiarism, academic dishonesty, or any violation of Section 8. Revoked certificates are invalidated in the verification system and the relevant account is suspended.
• Permanence: Valid certificates remain accessible via your account and the certificate portal indefinitely, even after your subscription expires, except in cases of revocation or account deletion.

SkillNexus maintains a public leaderboard ranking enrolled students by SNXP earned within a given batch or globally across the platform.

• Your display name and SNXP rank are visible to other enrolled students in your batch on the leaderboard. Your full name, email, and other personal details are not displayed.
• Leaderboard positions are calculated in real time based on legitimately earned SNXP. Fraudulently boosted rankings are subject to forfeiture and account suspension (Section 8).
• NexusAI may conduct batch-level or platform-wide competitions with additional rewards. Competition-specific rules will be published separately and incorporated by reference.
• You may contact support@nexusaiweb.com to request removal of your display name from public leaderboard views. This does not affect your internal progress tracking.

Transactional communications (OTP, enrollment confirmation, session reminders, certificate issuance, invoice delivery) are necessary for the functioning of the Platform. You cannot opt out of transactional messages while your account is active.

Push notifications via Firebase Cloud Messaging are optional and require your explicit browser permission. You may revoke push permission at any time through your browser settings or SkillNexus notification preferences. See our Privacy Policy — Section 5 for full FCM data handling details.

Marketing emails promoting new batches, features, and partner offers require separate consent and include an unsubscribe link in every email. Unsubscribing from marketing does not affect transactional messages.

WhatsApp notifications (where offered): If you opt in to WhatsApp updates through the Platform, NexusAI may send batch and session reminders via WhatsApp Business API. You may opt out by replying STOP to any WhatsApp message.

NexusAI's content: All course videos, AI-generated scripts and voiceovers, PDF study materials, PPT decks, quiz banks, assignment templates, project specifications, platform code, branding, trademarks ("SkillNexus", "NexusAI", "SNXP", "GNC"), and all related intellectual property are owned by NexusAI Technologies or its licensors and are protected under Indian copyright law, the Trade Marks Act, 1999, and applicable international treaties.

Your license: Upon enrollment in a batch, NexusAI grants you a limited, non-exclusive, non-transferable, non-sublicensable licence to access and use batch content solely for your personal, non-commercial learning during the enrollment period. This licence automatically terminates upon account closure, enrollment expiry, or suspension. Certificates remain accessible post-expiry as per Section 10.

Prohibited uses: Screen-recording or downloading content for redistribution, posting course material on external platforms (YouTube, social media, LMS), or using content for commercial training without written consent are expressly prohibited and constitute copyright infringement.

Your content: You retain ownership of original work you submit as assignments or projects. By submitting, you grant NexusAI the rights described in Section 9 (AI-Generated Content — Your submissions).

Feedback: Any feedback, suggestions, or ideas you provide to NexusAI may be used by NexusAI without obligation to compensate you.

Where SkillNexus is deployed as part of a college or corporate partnership programme:

• Institution as data processor: The partnering institution (college or employer) acts as an independent controller for its own student/employee data and is responsible for obtaining all required consents, including parental consent for students under 18.
• Progress sharing: Aggregate learning progress, attendance percentage, batch completion, and certificate status are shared with the institution's admin portal as per the institutional agreement.
• Access revocation: The institution may revoke a student's or employee's access to SkillNexus upon exit from the institution. NexusAI will honour such requests within 48 hours of written notification from an authorised institutional admin.
• Governing documents: Institutional Agreement terms take precedence over these Terms where they conflict, except where these Terms are more protective of individual user rights.

Specifically, NexusAI does not warrant that:

• The Platform will be uninterrupted, error-free, or free from viruses or other harmful components.
• AI-generated content is accurate, complete, current, or suitable for any specific professional purpose.
• Completing a SkillNexus program will result in specific learning outcomes, employment, salary improvement, or career advancement.
• All mentor sessions will occur as scheduled — sessions may be rescheduled or cancelled by mentors with notice.

To the maximum extent permitted by applicable Indian law, NexusAI's aggregate liability for all claims arising from your use of the Platform — whether in contract, tort (including negligence), or otherwise — is limited to the total amount you paid to NexusAI in the 12 months preceding the claim.

NexusAI shall not be liable for indirect, incidental, consequential, special, or punitive damages, including loss of profit, loss of data, loss of goodwill, or cost of substitute services, even if NexusAI has been advised of the possibility of such damages.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under Indian law.

These Terms are governed by and construed in accordance with the laws of India, including the:

• Information Technology Act, 2000 (and amendments including the IT Amendment Act, 2008)
• Digital Personal Data Protection Act, 2023
• Consumer Protection Act, 2019
• Indian Contract Act, 1872
• Copyright Act, 1957 and Trade Marks Act, 1999

Subject to the dispute resolution process in Section 18, the courts at Bengaluru, Karnataka shall have exclusive jurisdiction over any dispute arising from these Terms or the Platform.

Amicable resolution: Before initiating legal proceedings, both parties agree to attempt good-faith resolution by contacting the Grievance Officer.

Arbitration: If amicable resolution fails within 30 days of the Grievance Officer's final response, disputes shall be submitted to binding arbitration under the Arbitration and Conciliation Act, 1996, administered by a sole arbitrator agreed upon by both parties, seated in Bengaluru, Karnataka. Proceedings shall be conducted in English. The arbitral award shall be final and binding.

Class action waiver: You agree to resolve disputes with NexusAI on an individual basis only. Class-action, collective, or representative proceedings are not permitted.

Consumer disputes: Nothing in this section prevents you from lodging a complaint with the Consumer Disputes Redressal Forum as permitted under the Consumer Protection Act, 2019.

NexusAI may update these Terms from time to time to reflect changes in the Platform, legal requirements, or business practices. Material changes — those that affect your rights or key obligations — will be communicated:

• Via an in-app notice visible for at least 14 days before the change takes effect.
• Via email to your registered email address at least 7 days before effect.

Continued use of SkillNexus after the effective date of updated Terms constitutes acceptance. If you do not agree with material changes, you may close your account before they take effect; applicable refund terms will apply.

Minor, non-material changes (formatting, grammar, clarifications that do not alter your rights) may be made without prior notice. The "Last updated" date at the top of these Terms will always reflect the most recent revision.
